- A company with a corporate tax registration number must apply to deregister when its business or business activity ceases, including by dissolution or liquidation.
- FTA Decision No. 6 of 2023 sets the deadline at 3 months from cessation.
- The FTA states the review takes 40 working days from a completed application, and the service is free.
- The FTA will not deregister a taxpayer until all tax and penalties are paid and all returns, including the return up to the date of cessation, are filed.
- Cabinet Decision No. 75 of 2023 sets a late deregistration penalty of AED 1,000, repeated monthly, up to AED 10,000.
A UAE company that stops trading must ask the Federal Tax Authority to cancel its corporate tax registration within three months of the date it ceases. The service is free, the FTA states a review time of 40 working days, and the company cannot be deregistered until its tax, penalties and returns, including the final return, are settled.
Many owners treat closing the trade licence as the end of their tax duties. It is not. The tax registration sits with the FTA and ends only when the FTA approves a deregistration application. This guide covers who must apply, the deadline, the documents, the sequence, and the late penalty, using the Corporate Tax Law, the FTA’s decision on timing and the EmaraTax service page.
Who must apply
Article 52 of Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses says a person with a tax registration number must file a deregistration application where its business or business activity ceases, whether by dissolution, liquidation or otherwise. The FTA service page lists the reasons it accepts:
- Liquidation or bankruptcy.
- Closure of the business.
- A merger or a sale of the business.
- A duplicate tax registration number.
- A change of the place of effective management.
- Closure of a permanent establishment.
- Re-domiciliation, or another reason.
If a person does not apply, Article 52 allows the FTA to deregister the taxpayer at its discretion, based on the information it holds. Do not rely on that. The FTA may deregister you on its own terms, but unpaid tax and penalties stay in force.
The deadline: three months
FTA Decision No. 6 of 2023, effective from 1 June 2023, sets the timeline. A juridical person must file the application within three months of the date the entity ceases to exist, or the date of cessation of the business, dissolution or liquidation. A natural person has the same three months from the cessation of the business or business activity.
The decision says “3 months” and does not say whether these are calendar months or business months. Plan for calendar months, and file early. The FTA service page itself does not repeat the deadline, so the decision is the source to cite.

Documents the FTA asks for
The FTA lists documents by reason for deregistration. For the most common case, a company that is liquidated or closes, it asks for:
- The trade licence cancellation document.
- Financial statements up to the date of cancellation.
Other documents are optional for those reasons. A sale needs the sale agreement, a merger needs the merger agreement, and re-domiciliation needs a certificate of continuation. Closing a permanent establishment needs the cancellation from the UAE licensing authority. The service page accepts PDF, JPG, PNG, JPEG and XLSX files, with a size limit of 15 MB per file. It does not say that the financial statements must be audited, and we found no official page that adds that requirement for deregistration. For when audited accounts are required at all, see corporate tax and VAT registration deadlines and thresholds.
What must be settled before approval
Article 52 sets a firm condition. A taxable person shall not be deregistered unless it has paid all corporate tax and administrative penalties due and filed all tax returns due, including its return for the tax period up to and including the date of cessation. Approval takes effect from the date of cessation or from another date set by the FTA.
The FTA’s user manual adds that the FTA might request a final return, and lists a notification to submit it among its correspondences. We found no official page that sets a separate deadline for that final return for an ordinary company. Treat any request as urgent, and see what late filing actually costs for the penalties that can build up while you wait.
Review time, fees and how the process runs
- Channel: the application goes through the EmaraTax portal.
- Fee: the FTA lists the service as free of charge.
- Processing: the FTA states it processes the application within 40 working days from the date it receives the completed application. If it asks for more information, it may take up to a further 40 working days.
- Resubmission: if you do not answer an information request within 60 calendar days, the application may be rejected.
A rejection starts the clock on a new application, so answer information requests the same week.
The late deregistration penalty
Cabinet Decision No. 75 of 2023 on administrative penalties for tax violations, effective 1 August 2023 and amended by Cabinet Decision No. 10 of 2024, lists the failure to submit a deregistration application within the timeframe in the Corporate Tax Law. The penalty is AED 1,000 for a late submission, repeated on the same date each month, up to a maximum of AED 10,000.
Some secondary sources report that a later Cabinet decision replaces these penalty tables from April 2026. We could not confirm a changed amount for deregistration on an official page, so check the FTA’s current penalty table before you quote a figure to a client.
Where deregistration fits in a closure
Because the FTA asks for the licence cancellation document, the licence must be cancelled before the corporate tax application can be completed. The deadline, however, runs from cessation, dissolution or liquidation, not from the date the licence is cancelled. The documents suggest this working order:
- Cease trading and decide the cessation date.
- Prepare financial statements up to the cancellation date.
- Cancel the trade licence or complete the liquidation.
- File any outstanding returns and the return up to the cessation date, and pay what is due.
- Apply on EmaraTax inside the three months.
This is our reading of the documents above, not an FTA-published sequence. VAT is a separate registration with its own service and deadline, covered in VAT deregistration: when it is mandatory and how to apply. The wider closure order, including bank and visa steps, is in what closing a UAE company costs and the liquidation clearance letters.

Common mistakes when deregistering for corporate tax
- Treating the trade licence cancellation as the end of tax duties.
- Counting the three months from the day the licence was cancelled instead of the cessation date.
- Applying before the final return and any tax and penalties are settled, which blocks approval.
- Ignoring an FTA request for information and letting the 60 days lapse.
- Closing the bank account before the FTA application is complete, when a refund or payment may still be needed. See the right sequence for closing a corporate bank account.
When professional help is worth it
A company with clean returns and a single, documented closure date can apply without help. Support is worth having when returns are overdue, when the cessation date is unclear, or when a liquidator is involved. e.zone’s tax team can prepare the final return and the application, and track the FTA’s questions.

Frequently asked questions
When must a UAE company apply to deregister for corporate tax?
Article 52 of the Corporate Tax Law requires an application when the business or business activity ceases, whether by dissolution, liquidation or otherwise. FTA Decision No. 6 of 2023 sets the deadline at 3 months from that date.
How long does the FTA take to process a corporate tax deregistration?
The FTA service page states 40 working days from the date it receives the completed application. If it asks for more information it may take up to a further 40 working days.
What documents are needed to deregister after liquidation or closure?
For liquidation, bankruptcy or closure of business the FTA asks for the licence cancellation document and financial statements up to the cancellation date. Other reasons, such as a sale or merger, need different documents.
What is the penalty for late corporate tax deregistration?
Cabinet Decision No. 75 of 2023, as amended, lists AED 1,000 for a late application, repeated on the same date each month, up to a maximum of AED 10,000. Check the FTA site for any later penalty table before relying on the figure.
Does cancelling the trade licence cancel the corporate tax registration?
No. They are separate procedures with separate authorities. The licence cancellation document is one of the documents the FTA asks for when the tax registration is cancelled.
